Terms & Conditions
The agreement between you and CountGrid for use of our Service.
Last updated: October 7, 2026
1. About these terms
These Terms & Conditions (the “Terms”) form a binding agreement between you and CountGrid, Inc. (“CountGrid”, “we”, “us”) and govern your access to and use of the CountGrid inventory management software, including our website and application (together, the “Service”).
By creating an account, starting a trial, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. Your account
To use the Service, you must register for an account using accurate and complete information. You are responsible for keeping your password and sign-in credentials secure, and for all activity that occurs under your account.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. If you invite team members or other users to your workspace, you are responsible for their use of the Service and for ensuring they comply with these Terms.
Notify us immediately through the Contact page if you believe your account has been accessed without your authorization.
3. The service
CountGrid is a subscription-based inventory management platform that helps businesses count, track, move, and monitor inventory across their operations. The Service includes the features described on our website for each plan, and features may evolve as we improve the product.
4. Acceptable use
- Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
- Do not use the Service to store or transmit unlawful, infringing, or fraudulent content, or content that violates the rights of others.
- Do not attempt to gain unauthorized access to the Service, other accounts, or related systems, and do not probe, scan, or test the vulnerability of the Service without permission.
- Do not scrape, reverse engineer, decompile, or create derivative works from the Service except as permitted by applicable law.
- Do not resell, sublicense, or provide the Service to third parties as a hosted offering without our separate written agreement.
- Ensure you have the rights needed to upload and process any data you store in the Service.
5. Plans, free trials, and billing
The Service is offered under the plans and prices described on our Pricing page. The Free plan is available at no charge. Paid plans begin with a 14-day free trial.
- A valid credit card is required to start a free trial on a paid plan. Unless you cancel before the trial ends, the trial converts automatically to a paid subscription at the plan's then-current rate.
- Paid subscriptions are billed in advance on a monthly or annual basis, as selected at sign-up. Prices are listed in USD and are exclusive of applicable taxes, which you are responsible for.
- You can cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period, and we do not refund partial billing periods except where required by law.
- We may change prices with reasonable advance notice. Price changes apply from your next billing cycle.
6. Your content
You retain all rights to the data, records, documents, and other content you store in the Service (“Your Content”). We claim no ownership over it.
You grant us a limited, worldwide license to host, store, process, and transmit Your Content solely as needed to provide, maintain, secure, and support the Service for you. We do not sell Your Content and do not use it to advertise to third parties.
You are responsible for the accuracy, legality, and appropriateness of Your Content, and for maintaining appropriate backups if you need them beyond the Service's built-in export tools.
7. Data protection and security
We apply industry-standard technical and organizational measures to protect Your Content and personal data. Details of how we collect and process personal information are described in our Privacy Policy.
8. Intellectual property
The Service, including its software, design, text, graphics, logos, and trademarks, is owned by CountGrid or its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights in the Service are transferred to you.
If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use them to improve our products and services.
9. Third-party services
The Service may integrate with third-party services, such as payment processors, cloud storage providers, and productivity tools. Your use of any third-party service is subject to that provider's own terms and privacy policy, and we are not responsible for third-party services or the content they provide.
10. Availability and changes to the service
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, update, or discontinue features from time to time. If a change materially reduces the functionality of a paid plan, we will provide reasonable notice.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that errors will be corrected.
12. Limitation of liability
To the maximum extent permitted by law, CountGrid will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising from or relating to your use of the Service.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
13. Termination
You may close your account and stop using the Service at any time. We may suspend or terminate your account if you materially breach these Terms or if required by law, with notice where practicable.
Upon termination, your right to use the Service ends immediately. We will make Your Content available for export for a reasonable period following termination, after which it may be permanently deleted.
14. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located in Delaware for any dispute arising from these Terms, except where applicable law provides otherwise.
15. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify account holders by email or through the Service before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
